If you do not agree to all the terms and conditions contained herein, you must not access the website or use our services. These terms constitute a legally binding agreement between you, the user or client, and HMT Builder LLC, a Utah limited liability company with its principal office at 2522 Orchard Ave, Ogden, 84401-2516, United States.

HMT Builder LLC reserves the right to update or modify these terms at any time without prior notice. Your continued use of the website or services after any changes constitutes acceptance of the new terms. It is your responsibility to review these terms periodically for updates.

3. Services Description

HMT Builder LLC provides computer systems design and related services, with a specialized focus on computer integrated systems design for the construction and building industries. Our services include, but are not limited to, the design and implementation of building management systems, IoT sensor networks, digital twin platforms, network infrastructure, security and access control systems, and custom software solutions for construction project management.

The specific scope, deliverables, timelines, and fees for each engagement shall be defined in a separate Statement of Work, Service Agreement, or Project Proposal executed by both parties. In the event of any conflict between these Terms of Service and a specific Service Agreement, the Service Agreement shall prevail with respect to that particular engagement.

Our services are provided subject to availability and we reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to affected clients.

4. User Responsibilities

As a user of our website or a client of our services, you agree to the following responsibilities:

• To provide accurate, current, and complete information when engaging our services or communicating with us.
• To maintain the confidentiality of any account credentials, access codes, or authentication tokens provided to you.
• To use our website and services only for lawful purposes and in compliance with all applicable federal, state, and local laws and regulations.
• To not engage in any activity that could damage, disable, overburden, or impair our servers, networks, or infrastructure.
• To not attempt to gain unauthorized access to any part of our website, systems, or data.

5. Intellectual Property Rights

All content, materials, designs, software code, documentation, methodologies, and deliverables created by HMT Builder LLC in the course of providing services, including but not limited to system architectures, software applications, technical drawings, and project plans, are the intellectual property of HMT Builder LLC unless otherwise expressly agreed in writing.

Upon full payment of all fees due under a Service Agreement, HMT Builder LLC grants the client a non-exclusive, non-transferable, perpetual license to use the deliverables created specifically for that client. However, HMT Builder LLC retains all right, title, and interest in any pre-existing intellectual property, tools, frameworks, libraries, and methodologies used in the creation of deliverables.

The HMT Builder name, logo, and associated branding elements are trademarks of HMT Builder LLC and may not be used without our prior written consent. All content on our website is protected by copyright and other intellectual property laws.

6. Confidentiality

Both parties agree to maintain the confidentiality of all Confidential Information disclosed during the course of their business relationship. Confidential Information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law or legal process.

Each party agrees to use Confidential Information solely for the purpose of performing obligations under the applicable Service Agreement and to protect such information using the same degree of care used to protect its own confidential information, but in no event less than reasonable care. This confidentiality obligation shall survive the termination of any Service Agreement and these Terms of Service for a period of five years from the date of disclosure.

7. Fees and Payment Terms

Fees for services shall be as set forth in the applicable Statement of Work, Service Agreement, or Project Proposal. Unless otherwise agreed, payment terms are as follows:

• For project-based engagements, an initial deposit of fifty percent of the total project fee is due upon signing of the Service Agreement, with the balance due upon completion and acceptance of deliverables.
• For time-and-materials engagements, invoices are submitted monthly and are due within fifteen days of the invoice date.
• For recurring managed services, fees are billed monthly in advance and are due within fifteen days of the invoice date.
• All fees are stated in United States dollars and are exclusive of applicable taxes and duties.
• Late payments shall accrue interest at the rate of one and one-half percent per month or the maximum rate permitted by law, whichever is lower.
• HMT Builder LLC reserves the right to suspend services for any account that is more than thirty days past due.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall HMT Builder LLC, its officers, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the website or services.

Our total liability to you for any claims arising out of or relating to these terms or the services, whether in contract, tort, or otherwise, shall not exceed the total amount paid by you to HMT Builder LLC in the twelve-month period preceding the event giving rise to the claim. This limitation of liability applies even if HMT Builder LLC has been advised of the possibility of such damages.

9. Warranties and Disclaimers

HMT Builder LLC warrants that services will be performed in a professional and workmanlike manner in accordance with industry standards. We further warrant that our deliverables will conform to the specifications set forth in the applicable Service Agreement for a period of ninety days following delivery.

Except as expressly stated in these terms, our website and services are provided on an AS IS and AS AVAILABLE basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. HMT Builder LLC does not warrant that the website will be uninterrupted, timely, secure, or error-free.

10. Indemnification

You agree to defend, indemnify, and hold harmless HMT Builder LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses, including but not limited to reasonable attorneys fees, arising from or related to:

• Your use of or access to the website or services.
• Your violation of any term of these Terms of Service.
• Your violation of any third-party right, including intellectual property, privacy, or contractual rights.
• Any content or information you provide to us through the website or in connection with our services.
• Your negligence, willful misconduct, or violation of applicable law.

HMT Builder LLC reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

11. Term and Termination

These Terms of Service shall remain in full force and effect while you use the website or engage our services. HMT Builder LLC may terminate or suspend your access to the website or services immediately, without prior notice or liability, for any reason, including without limitation if you breach any provision of these terms.

Upon termination, your right to use the website and services will immediately cease. Provisions of these terms that by their nature should survive termination, including but not limited to intellectual property provisions, confidentiality obligations, limitation of liability, indemnification, and dispute resolution, shall survive termination. For Service Agreements, termination terms shall be as specified in the applicable agreement.

12. Dispute Resolution and Governing Law

These Terms of Service and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles. The parties agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Weber County, Utah for the resolution of any disputes.

Before initiating any legal proceeding, the parties agree to first attempt to resolve any dispute through good-faith negotiations. If the dispute cannot be resolved within thirty days of written notice, the parties agree to submit the dispute to non-binding mediation administered by a mutually agreed mediator in Ogden, Utah. If mediation does not resolve the dispute, either party may pursue legal remedies as provided herein.

13. Website Usage and Acceptable Use

When accessing our website, you agree not to engage in the following prohibited activities:

• Using any robot, spider, scraper, or other automated means to access the website for any purpose without our express written permission.
• Introducing any viruses, Trojan horses, worms, logic bombs, or other malicious code into the website or its infrastructure.
• Attempting to interfere with, compromise, or disrupt the website, servers, or networks connected to the website.
• Impersonating any person or entity or falsely stating or misrepresenting your affiliation with any person or entity.

14.2 Severability

If any provision of these Terms of Service is found to be unenforceable or invalid under applicable law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 Waiver

No waiver of any term or condition of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term. The failure of HMT Builder LLC to assert any right or provision under these terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms of Service without the prior written consent of HMT Builder LLC. HMT Builder LLC may freely assign or transfer these terms without restriction, provided that any assignee agrees to assume all obligations hereunder.

14.5 Notices

All notices under these terms shall be in writing and shall be deemed given when delivered personally, sent by confirmed email, or sent by certified mail to the address set forth below. Notices to clients shall be sent to the email address provided during the engagement process.

14.6 Force Majeure

Neither party shall be liable for any failure or delay in performance under these terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, strikes, or failure of telecommunications or utility infrastructure.

14.7 Independent Contractor

HMT Builder LLC operates as an independent contractor and not as an employee, agent, partner, or joint venturer of any client. Nothing in these terms shall create any partnership, joint venture, employment, or agency relationship between the parties.
